Terms of Service

"MarketAgencyAI" or "we" means MarketAgencyAI LLC, a Delaware limited liability company.

"Service" means the MarketAgencyAI platform and all AI-generated marketing assets, including but not limited to website copy, sales funnels, email and SMS templates, video scripts, and GoHighLevel account provisioning.

"Customer" or "you" means the legal business entity or authorized representative using the Service.

"Content" means all customer data, business information, and materials submitted to or processed by the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old or have explicit authorization from an adult or legal entity representative. By using the Service, you represent that you meet these requirements.

You represent that you are an authorized representative of your business and have the authority to bind your organization to these Terms.

MarketAgencyAI is an AI-powered platform that generates personalized marketing assets based on your business description. The Service produces:

• Website copy and landing pages
• Sales funnels and email sequences
• SMS campaign templates
• Video scripts and welcome videos via HeyGen
• Automated GoHighLevel account setup and configuration

The Service is provided on an as-is basis. We do not guarantee specific marketing results, sales, or business outcomes.

You are solely responsible for reviewing and approving all AI-generated content before deploying it. We strongly recommend you:

• Verify accuracy and compliance with all applicable laws
• Comply with CAN-SPAM Act, TCPA, GDPR, and other privacy and marketing regulations applicable to your jurisdiction
• Obtain proper consent from recipients before sending marketing communications
• Verify all claims, testimonials, and product descriptions in generated content
• Not use the Service for unlawful, fraudulent, or harassing purposes

You assume all legal and financial responsibility for content you deploy using the Service. MarketAgencyAI is not liable for your use of generated content.

The Service is provided as a monthly subscription. Billing occurs on the date you register and on each monthly anniversary thereafter.

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing cycle. No refunds are issued for partial months.

We reserve the right to change pricing with 30 days' written notice via email. Continued use after the notice period constitutes acceptance of new pricing.

You are responsible for providing accurate billing information. We may suspend or terminate your account for non-payment.

All AI-generated content is a suggestion only. You must review, edit, and approve all output before use. MarketAgencyAI does not guarantee:

• Marketing effectiveness or business results
• Accuracy, legality, or suitability of generated content
• That content complies with your jurisdiction's laws or industry regulations
• That video generation, email delivery, or GoHighLevel integration will succeed

You are responsible for all outcomes and consequences of deploying AI-generated content.

The Service integrates with third-party platforms and services, each with their own terms and conditions:

• Azure OpenAI (LLM inference and content generation)
• HeyGen (video generation and delivery)
• Cloudflare (hosting and edge services)
• GoHighLevel (marketing automation and CRM)

Your use of these services is subject to their respective terms, privacy policies, and service level agreements. MarketAgencyAI is not responsible for third-party service outages, data loss, or non-compliance.

You own all Content you input into the Service and all final approved outputs generated by the Service.

MarketAgencyAI owns all intellectual property in the platform, algorithms, and infrastructure. You receive a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

You grant MarketAgencyAI a license to use your Content and outputs for the sole purpose of providing and improving the Service. You may opt out of platform improvement usage by contacting legal@marketagencyai.com.

MarketAgencyAI's total liability under these Terms is capped at the total fees you paid in the 12 months preceding the claim.

MarketAgencyAI is not liable for:

• Lost profits, revenue, or business opportunity
• Indirect, incidental, special, consequential, or punitive damages
• Customer complaints, customer loss, or negative marketing outcomes
• Third-party claims or regulatory fines resulting from your use of generated content

Either party may terminate this agreement at any time with 30 days' written notice to the other party.

MarketAgencyAI may terminate immediately without notice if you:

• Materially breach these Terms
• Use the Service illegally or fraudulently
• Violate third-party rights or laws
• Fail to pay your subscription fees for 30 days

Upon termination, your access to the Service ceases immediately. We may retain your data as required by law.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of law principles.

You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising under these Terms.

We may update these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after the notice period constitutes acceptance of updated Terms.
